What will you do?

You will provide a full range of legal support to Mintos Partnerships team and other stakeholders internally to facilitate the establishment of new partnerships with lending companies in new and existing markets of issuance asset-backed securities, and taking care of the legal aspects of existing partnerships, proactively identifying and mitigating legal risks.

You will:

• Carry out legal due diligence of new jurisdictions where from lending companies come or changes in current jurisdictions.
• Carry out legal due diligence, provide legal advice, including deal structuring, and assist with drafting and negotiation of transaction documents throughout the process of setting up cooperation with a new lending company. When necessary present the legal position to internal decision makers.
• Draft, review and negotiate transactional documents during the lifecycle of cooperation with the lending company.
• Provide legal assistance on recoveries from lending companies.
• Define tasks for external legal counsel, coordinate their work, negotiate fee arrangements.
• Be comfortable delivering the outcomes independently as well as in close collaboration with senior legal counsel (team lead) and head of legal;
• Demonstrate skill to identify and communicate potential legal and other transactional risks in an understandable manner for non-lawyers, develop solutions and illustrate their pros and cons for decision-makers.
• Demonstrate good ability to negotiate LMA style contracts in the interest of creditors.
• Draft new standard contract forms in English and update existing legal templates when necessary.
• Work on debt restructuring arrangements, fillings of creditor claims in insolvency and other administration proceedings of business partners and enforcement of contracts through court proceedings, in collaboration with external law firms;
• Assist from legal perspective with different other ad hoc situations regarding cooperation with partners;
• Take care of other legal workflows to ensure legal risk management in cooperation with lending companies.

Your professional skills and background:

• Law degree from a reputable university with strong academic performance. Additionally masters degree in law or LLM is a plus;
• 5+ years post university work experience with a proven sound track record working in reputable law firm, preferably in financial services practice, or legal function of an investment firm, bank or other regulated financial institution in the EU;
• Sound contract drafting skills;
• Good understanding and knowledge of investment services and investment products and structuring of financing transactions will be a plus;
• Very good legal Latvian and English, including hands-on experience in legal writing. Other language skills would be an added bonus;
• Attention to detail and eye for accuracy;
• Ability to think commercially in relation to legal issues and provide solutions;
• Ability to prioritize own work and to work on own initiative;
• Reliable and flexible with a professional and helpful attitude;
• Strong interpersonal skills – ability to build consensus and work with partners from different backgrounds. Excellent interpersonal manner, including tact and diplomacy;
• Proven ability building trusting working relationships while maintaining independence.

Compensation:

Salary starting from € 3290 - 3830 per month gross, depending on the candidate's experience.
